This agreement by and between jhpiego corporation, an affiliate of the johns Hopkins university.
Organized under the laws of the state of Maryland having its principal address at 1615 thames street, Baltimore, Maryland 21231 (hereinafter referred to as jhpiego), and Irjones ( hereinafter referred to as Consultant/Independent Contractor).
RECITALS
I. Jhpiego desires to obtain services form the consultant/Independent contractor as more particularly described herein (hereinafter referred to as the Services).
II. The Consultant/Independent Contractor is in the business of providing such services and has agreed to provide the services on the terms and condition set forth in this agreement.
Now, therefore, in consideration of the faithful performance of the obligations set forth herein and other good and valuable consideration the receipt and sufficiency of which are hereby acknowledged, jhpiego and the consultant/Independent contractor hereby agre as follows :
1. Scope of work. The Consultant/Independent contractor will consult with and advise JHPIEGO on matters
and/or perform services relating to attachment A – Scope of Work.
2. Place Of Work. The Consultant/Independent Contractor shall perform the work described hereunder from
a place of business located at Jhpiego Office in Jakarta or at a place to be designated by Jhpiego. Upon
reasonable notice, Consultant/Independent Contractor shall meet with representatives of Jhpiego, either at
other designated location.
3. Time Devoted to Work. In the performance of the Servics, the amount of time dvoted by the
Consultant/Independent contractor on any given day will be entirely within the Consultant/Independent
contractor’s control, and Jhpiego will rely on the Consultant/Independent contractor to devote such number
of hours as are necessary to fulfill the requirements of this agreement.
4. Estimated Cost and Payment. Jhpiego will pay the Consultant/Independent contractor at the fixed rate of
Rp. 315.000,- per day of services based on eight-hour work per day for a maximum number of months
not-to-exceed 12 day. Payment for services will be paid by Jhpiego upon presentation of invoices by the
Consultant/Independent contractor upon completion of services rendered. Invoices shall include the total
number of days worked and a brief description of the services provided for ach day worked.
Reimbursement of other previously authorized expenses under this agreement will be paid to the
Consultant/Independent contractor upon itemization of the Consultant/Independent contractor’s invoice.
Local Transport expenses will be reimbursed actually to the Consultant/Independent contractor during
services.
5. Term. The term of this agreement shall commence on 28 March and shall continue through 31 may 2012
unless extended by mutual written agreement of the or until all work in accordance with this agreement has
been completed. Jhpiego may at any terminate all or any part of the services called for by this agreement
for its convenience. Upon the expiration of the term hereof or earlier termination of this agreement,
Consultant/Independent contractor shall deliver to Jhpiego all completed work to dat any records or other
property belonging to Jhpiego.
6. Status of the Consultant/Independent Contractor. Jhpiego and Consultant/Independent contractor inted
that the relationship established between them pursuant to this Agreement shall be that of client and
consultant/Independent Contractor. No agent, employee or servant of Consultant/Independent contractor
shall b or shall b deemed to be an employee, agent or servant of Jhpiego. Jhpiego is interested only in the
result obtained under this agreement consistent with paragraph 7 below. The manner and means of
conducting the work are under the sole control of the Consultant/Independent contractor.
Consultant/Independent contractor will be solely and entirely responsible for his acts and for the acts of his
agents, employees, servant and subcontractors during the performance of this contract.
7. Jhpiego’s right to inspct. In the performance of the services, Consultant/Independent contractor has the
authority to control and direct the performance of the details of the work, Jhpigo being interested only in
the results obtained. Howver, the work contemplated herein must meet jhpiego’s standatrds and approval
and shall be subject to Jhpiego’s general right of inspection and supervision to scure the satisfactory
completion thereof. Consultant/Independent contractor agrees to comply with all federal, state and local
laws, rules and regulations that are now or hereafter applicable to the Consultant/Independent contractor or
Consultant/Independent contractor’s business. Jhpiego will designate a representative who shall be
authorized to act for jhpiego in all matters related to Consultant/Independent contractor’s performance of
the services.
8. Confidentional Informatino and copyright. All information and reports disclosed to the
Consultant/Independent contractor by jhpiego or Jhpiego’s sponsor and all information and report
developd by the Consultant/Independent contractor for Jhpiego or the sponsor during performance of the
services are confidential and shall be revealed only to jhpiego. Jhpiego shall be deemed the copyright
owner of all such information and reports developed by the Consultant/Independent contractor under this
agreement.
9. Reports. The Consultant/Independent contractor shall prepare additional reports as may be specified by
Jhpiego including trip reports for all travel assignments under this agreement.
10. General. This agreement shall be interprted in accordance with the laws of the state of Maryland. This agreement constitutes the entire agreement of the patise with respect to the matters addressd herein and no modifications of this agreement shall be enforceable unless in writing signed by both jhpiego and Consultant/Independent contractor. All references to the masculine gender herein shall be applicable equally to the feminine and neuter gnders and all references in the singular shall apply in the plural.
